These Terms of Service (“Terms”) govern your access to and use of the websites, software, APIs, integrations, and services provided by AppGovern Corp. (“AppGovern,” “Company,” “we,” “our,” or “us”).
By accessing or using our Services, you agree to these Terms.
If you do not agree, do not use the Services.
1. Services Overview
AppGovern provides a cybersecurity identity and access governance platform that helps organizations manage SaaS ownership, access controls, and security oversight (the “Services”).
Services may include:
- web applications
- beta features
- APIs
- integrations
- documentation
- support
We may update or modify the Services at any time.
2. Eligibility
You must:
- be at least 18 years old
- use Services for business purposes
- have authority to bind your organization
If using on behalf of a company, you represent you have authority to accept these Terms.
3. Accounts
You are responsible for:
- maintaining account security
- safeguarding credentials
- activities under your account
You must promptly notify us of unauthorized use.
We are not responsible for losses caused by compromised credentials.
4. Acceptable Use
You agree not to:
- violate laws or regulations
- access systems without authorization
- attempt to reverse engineer
- interfere with security controls
- scrape or harvest data
- resell or sublicense Services
- build competing products using our Services
We may suspend accounts for violations.
5. Beta Features
Some features may be labeled “Beta,” “Preview,” or “Experimental.”
These:
- are pre-release
- may contain defects
- may change or be discontinued
- are provided “as-is”
- are not intended for production use
Use at your own risk.
6. Intellectual Property
All software, content, designs, and technology are owned exclusively by AppGovern.
No ownership rights are granted.
You receive only a limited right to use the Services.
7. Feedback
Any feedback or suggestions you provide may be used by AppGovern without restriction or compensation.
8. Confidentiality
You may receive non-public information about our technology.
You agree to:
- keep it confidential
- not disclose to third parties
- not use for competitive purposes
9. Privacy
Your use of the Services is also governed by our Privacy Policy.
10. No Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
APPGOVERN DISCLAIMS ALL WARRANTIES, INCLUDING:
- merchantability
- fitness for purpose
- non-infringement
- security
- uninterrupted availability
We do not guarantee the Services will prevent security incidents or meet compliance requirements.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
APPGOVERN SHALL NOT BE LIABLE FOR:
- indirect or consequential damages
- lost profits
- lost data
- business interruption
TOTAL LIABILITY SHALL NOT EXCEED AMOUNTS PAID TO APPGOVERN IN THE PRIOR 12 MONTHS (OR $100 IF NO FEES WERE PAID).
12. Indemnification
You agree to indemnify and hold harmless AppGovern from claims arising from:
- your misuse of the Services
- your violation of these Terms
- your data or content
13. Termination
We may suspend or terminate access at any time for violations or risk to the platform.
Upon termination, you must cease use.
14. Export Compliance
You agree to comply with all export control and sanctions laws.
15. Dispute Resolution
All disputes shall be resolved by binding arbitration in Oregon, USA.
You waive:
- jury trials
- class actions
16. Governing Law
These Terms are governed by the laws of the State of Oregon.
17. Changes
We may update these Terms. Continued use constitutes acceptance.
